1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GeoPulse Tech ("Company," "we," "us," or "our") governing your access to and use of the GeoPulse Tech website located at https://geopulse-tech.com and our AI-powered e-commerce optimization platform and applications (collectively, the "Service").

By accessing, registering for, or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

GeoPulse Tech is an AI-powered e-commerce optimization platform that provides automated SEO and content optimization services for online stores. Our Service includes, but is not limited to:

• Schema Markup Generation: Automated injection of JSON-LD structured data (schema.org) to improve search engine visibility
• llms.txt Generation: Creation of llms.txt files to help AI search engines discover and understand your products
• AI-Powered Content Optimization: Generation and optimization of product descriptions, titles, and metadata
• FAQ Generation: Automated creation of frequently asked questions for products
• AI Visibility Scoring: Analysis and scoring of your products' visibility in AI search engines
• Performance Reports: Weekly analytics and performance reports
• SEO Tools: Keyword research, content briefs, on-page optimization, and audit features
• Google Search Console Integration: Optional integration for keyword tracking and rank monitoring
• Multi-Platform Support: Integration with Shopify, WooCommerce, BigCommerce, Wix, and other e-commerce platforms

The Service uses artificial intelligence and machine learning technologies provided by third-party AI service providers (including but not limited to OpenAI, Anthropic, Google, and Groq) to generate and optimize content.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must:

• Create an account by providing accurate, current, and complete information
• Maintain and promptly update your account information to keep it accurate, current, and complete
• Maintain the security of your account credentials (username, password, API keys)
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account or any other breach of security

3.2 Account Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to comply with this obligation.

3.3 Account Suspension or Termination

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms or engaged in fraudulent, illegal, or harmful activities.

4. Subscription Plans, Billing, and Refunds

4.1 Subscription Plans

We offer various subscription plans with different features, usage limits, and pricing. Current pricing and plan details are available on our website at https://geopulse-tech.com/pricing. We reserve the right to modify our pricing and plans at any time, with 30 days' advance notice to existing subscribers.

4.2 Free Trial

New users may receive a 14-day free trial period. During the trial:

• You have full access to the Service features included in your selected plan
• You may cancel at any time during the trial without charge
• If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged
• Only one free trial per user is permitted

4.3 Billing and Payment

• Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan
• Payment Method: You must provide a valid payment method (credit card, debit card, or other accepted payment method) through our payment processor, Stripe
• Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date
• Authorization: By providing payment information, you authorize us to charge your payment method for all fees due
• Failed Payments: If payment fails, we may suspend or terminate your access to the Service until payment is successfully processed
• Price Changes: We will notify you at least 30 days in advance of any price increases

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@geopulse-tech.com. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period.

4.5 Refund Policy

General Policy: All subscription fees are non-refundable except as required by applicable law or as expressly stated below.

• Free Trial: No charges are made during the free trial period
• Subscription Fees: Once a subscription period has begun, fees are non-refundable for that period
• Legal Requirements: We will provide refunds as required by applicable consumer protection laws in your jurisdiction
• Service Issues: If the Service is unavailable for more than 48 consecutive hours due to our fault, we will provide a prorated refund or credit for the affected period
• Disputes: If you dispute a charge, please contact us at billing@geopulse-tech.com within 30 days of the charge

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law
• Violate or infringe upon the rights of others, including intellectual property rights, privacy rights, or publicity rights
• Transmit, upload, or distribute any viruses, malware, worms, Trojan horses, or other harmful or malicious code
• Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Use automated systems (bots, scrapers, crawlers) to access the Service without our express written permission
• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service
• Use the Service to generate content that is defamatory, harassing, abusive, obscene, or otherwise objectionable
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
• Collect or harvest information about other users without their consent
• Use the Service to compete with us or to build a similar or competing service
• Resell, sublicense, or redistribute the Service or any content generated by the Service without our permission

Violation of this Acceptable Use Policy may result in immediate termination of your account and access to the Service, and may subject you to legal liability.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, logos, trademarks, and all related intellectual property, is owned by GeoPulse Tech and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms. This license does not include any right to resell, redistribute, or create derivative works from the Service.

6.2 Your Content and Data

You retain all ownership rights to your store data, product information, and content that you provide to the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, process, store, and transmit Your Content solely for the purpose of providing the Service to you
• Generate, create, and modify content based on Your Content (such as schema markup, FAQs, and optimized descriptions)
• Share Your Content with third-party AI service providers as necessary to provide the Service

This license terminates when you delete your account or remove Your Content from the Service, except that we may retain copies as necessary to comply with legal obligations or for backup purposes.

6.3 AI-Generated Content

Content generated by the Service using AI (including but not limited to product descriptions, FAQs, schema markup, and llms.txt files) is provided to you for your use. You are responsible for reviewing, editing, and approving all AI-generated content before publishing it on your website. We do not claim ownership of AI-generated content, but we also do not guarantee its accuracy, completeness, or suitability for your specific use case.

7. AI-Generated Content and Disclaimers

Our Service uses artificial intelligence and machine learning technologies provided by third-party AI service providers (including OpenAI, Anthropic, Google, Groq, and others) to generate content, optimizations, and recommendations.

7.1 Content Accuracy and Review

• You are solely responsible for reviewing, editing, and approving all AI-generated content before publishing it on your website
• We do not guarantee the accuracy, completeness, correctness, or suitability of any AI-generated content
• AI-generated content may contain errors, inaccuracies, or may not be appropriate for your specific business or industry
• You should verify all facts, claims, and information in AI-generated content before use

7.2 No Warranty for AI Content

AI-generated content is provided "as is" without any warranties, express or implied. We are not liable for any damages, losses, or legal issues arising from your use of AI-generated content.

7.3 Third-Party AI Providers

Your product data may be shared with third-party AI service providers to generate content. These providers have their own terms of service and privacy policies. We are not responsible for the actions, policies, or practices of these third-party AI providers.

8. Service Availability and Modifications

8.1 Service Availability

We strive to maintain high availability and uptime for the Service, but we do not guarantee that the Service will be available 100% of the time. The Service may be unavailable due to:

• Scheduled maintenance and updates
• Unscheduled maintenance or technical issues
• Circumstances beyond our reasonable control (force majeure events)
• Third-party service outages (hosting providers, AI service providers, payment processors)

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Unless otherwise specified in a separate written agreement, we do not provide any service level agreement (SLA) or guarantee specific uptime percentages.

9.2 Limitation of Liability

• Lost profits, revenue, or business opportunities
• Data loss or corruption
• Business interruption
• Cost of substitute services
• Damages resulting from your use or inability to use the Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless GeoPulse Tech, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any law or regulation
• Your infringement of any intellectual property or other rights of any third party
• Your Content or any content you publish using AI-generated content from the Service

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

11. Termination

11.1 Termination by You

You may terminate your account and stop using the Service at any time by canceling your subscription and deleting your account through your account settings or by contacting us at support@geopulse-tech.com.

11.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent, illegal, or harmful activity
• Non-payment of fees
• Violation of our Acceptable Use Policy
• Extended period of account inactivity

11.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and data in accordance with our Privacy Policy
• All outstanding fees remain due and payable
• Provisions of these Terms that by their nature should survive termination will survive (including but not limited to Sections 6, 9, 10, and 13)

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending you an email notification to the email address associated with your account
• Displaying a prominent notice on the Service

Your continued use of the Service after any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

13.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm.

The arbitration shall be conducted in Delaware, United States, and the arbitrator's decision shall be final and binding. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GeoPulse Tech regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, or government actions.
